    ADQ plans a voluntary cash offer of AED 6.25 per share to acquire full ownership of AD Ports Group, currently holding 75.42% stake.

    AD Ports Group has confirmed receipt of a formal notification from L'IMAD Holding Company PJSC, a sovereign investor of the Government of Abu Dhabi, regarding its intention to submit a voluntary conditional cash offer to acquire up to 100 percent of the company's issued and paid-up share capital not already held by its wholly owned subsidiary, Abu Dhabi Developmental Holding Company PJSC (ADQ).

    Under the terms outlined in the notification, the offer would be advanced through ADQ, which currently holds a 75.42 percent stake in AD Ports Group. The proposed transaction would therefore extend ownership across the remaining shares held by minority shareholders.

    The indicated offer price stands at AED 6.25 per share. Measured against recent market benchmarks, the price reflects a series of premiums that underscore the valuation placed on the company. Specifically, the offer reflects a 23 percent premium to the last closing share price of AED 5.10, recorded on 14 August 2026; a 25 percent premium to the one-month volume-weighted average price (VWAP) of AED 5.02; and a 31 percent premium to the three-month VWAP of AED 4.76.

    Compared with the company's earlier market history, the proposed price represents a 95 percent premium over the AED 3.20 listing price at which AD Ports Group debuted on the Abu Dhabi Securities Exchange on 8 February 2022.

    In accordance with established regulatory procedure, the matter will be presented to the Group's Board of Directors, with the required processes to be conducted pursuant to the decision of the Chairman of the Board of Directors of the Capital Market Authority No. (18/R.M) of 2017, which governs the Rules of Acquisition and Merger of Public Joint Stock Companies.

    AD Ports Group has indicated that further announcements will be made regarding any material developments as the matter progresses.
