C.H. Robinson is set to acquire RXO for $5.8 billion, reshaping North American freight with enhanced services and operational synergies.

C.H. Robinson Worldwide has entered into a definitive agreement to acquire RXO Inc. in a stock-and-cash transaction with an implied value of $5.8 billion. The combined company will have an enterprise value of more than $25 billion. For the shippers, freight forwarders, and importers that depend on both networks, the deal signals a major shift in the North American freight landscape.

The agreement brings together two complementary networks. The companies say the combination will diversify and strengthen C.H. Robinson's multimodal platform, speed up its growth, and expand its reach across all freight modes and customer segments.

The combined company will bring together a full range of capabilities: Truckload brokerage, a core strength of both companies; managed transportation, in which a logistics provider plans and runs freight programs on a customer's behalf; global forwarding, led by C.H. Robinson's international capabilities; expedited freight, a specialty of RXO; and last-mile delivery, another RXO strength.

Bringing these services under one roof is set to create a more comprehensive offering across a larger and denser network. For cargo owners who manage multiple providers across modes, a single partner covering brokerage, managed transportation, global forwarding, expedited, and last-mile services could simplify coordination from origin to final delivery.

A central element of the deal is C.H. Robinson's Lean AI operating model, which the company will apply across RXO's business. The company describes this approach as proven within its own operations.

Through this rollout, C.H. Robinson expects to realize approximately $300 million in net run-rate cost synergies within two years after the deal closes. Run-rate synergies are the annual savings a combined company expects to achieve once integration is fully in place.

The companies expect these productivity gains to create a more resilient platform that supports profitable growth, stronger operating leverage, and improved margins regardless of freight market conditions. That resilience matters to shippers. Freight markets swing between tight capacity and soft demand, and a provider built to perform across cycles is better positioned to support steady service and cost discipline when conditions change.

Dave Bozeman, President and Chief Executive Officer of C.H. Robinson, framed the acquisition as the next phase of the company's ongoing transformation.

"This transaction is a natural next step in our transformation, allowing us to create a more scaled, resilient North American third-party logistics provider positioned to offer exceptional customer service and redefine the future of our industry," said Bozeman. "Like Robinson, RXO is a customer-focused company with expertise and talent that will allow us to expand our capabilities to better support customers of all sizes on their most complex challenges. By applying our proven Lean AI model to RXO's business, we expect to significantly enhance productivity to unlock compelling cost synergies. We are confident our experienced team and disciplined execution plan will allow us to seamlessly integrate our organizations and position the combined company to capture the expected synergies, drive innovation and deepen customer relationships to enhance profitable growth and shareholder value."

The acquisition of RXO is more than an expansion of scale. It is a deliberate step to reshape how North American freight moves, positioning the combined company to strengthen service across every mode and segment it serves.
